The Securities and Exchange Commission (SEC) or the Commission is the national government regulatory agency charged with supervision over the corporate sector. Being the registrar and overseer of the Philippine corporate sector; it supervises more than 600,000 active corporations and evaluates the financial statements (FS) filed by all corporations registered with it.

Submission of SEC reportorial requirements is mandated under Section 177 of the Revised Corporation Code of the Philippines. SEC regulation further provides that non-compliance therewith including non-submission and delayed submission thereof, will result in the imposition of penalties, placing the corporation under a delinquent status, and revocation of the corporation's certificate of incorporation. Thus, the importance of having a full understanding of these reportorial requirements.
